Terms of Service
Effective May 31, 2026
These Terms of Service (“Terms”) are a contract between you and NextEdge Prep(“NextEdge”, “we”, “us”), governing your use of the NextEdge SAT tutoring platform (the “Service”). Please read them carefully. If you do not agree, do not use the Service.
1. Acceptance of these Terms
By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of a minor under your guardianship, you accept these Terms on their behalf and are responsible for their compliance.
2. Eligibility
You must be at least 13 years old to create an account. If you are between 13 and 17, you represent that you have your parent or legal guardian’s permission to use the Service. We may ask for confirmation of your age and refuse or terminate accounts that do not meet these requirements.
The Service is currently offered only to users in the United States. By using the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local law.
3. Your account
Accounts are created by invitation from a NextEdge tutor. You agree to provide accurate information, keep your password confidential, and not share your account with anyone else. You are responsible for all activity that occurs under your account. Tell us immediately at nextedge.prep@gmail.com if you suspect unauthorized use.
4. Acceptable use
When using the Service, you agree not to:
- scrape, copy, or redistribute practice questions, explanations, or other content;
- reverse engineer, decompile, or interfere with the security or integrity of the Service;
- use the AI tutor to generate content unrelated to SAT preparation, or to attempt to bypass its content rules;
- submit content that is unlawful, harassing, defamatory, hateful, sexually explicit, or that infringes another person’s rights;
- upload viruses, malware, or other harmful code; probe or test the Service’s vulnerability without our written permission;
- impersonate any person or misrepresent your affiliation with any person or organization;
- use automated systems (bots, crawlers) to access the Service without our consent.
We may suspend or terminate accounts that violate these rules and may report serious violations to law enforcement.
5. The Service and AI tutor
The Service includes practice questions, progress tracking, and an AI-assisted tutor that explains answers and walks through solutions. The AI tutor is provided by a third party (currently Anthropic) and may produce responses that are incorrect, incomplete, or out of date. You should treat AI explanations as study aids, not as authoritative truth. When in doubt, ask your human tutor.
We may add, remove, or change features of the Service at any time. We may impose usage limits (for example, message-per-question caps in the AI tutor) and may change those limits without notice.
6. No score guarantee
Test outcomes depend on many factors outside our control, including your study habits, the amount of time you invest, and your starting baseline. We do not guarantee any specific SAT score, score increase, percentile, or admission outcome. Testimonials and marketing claims on the Service describe past results of individual students and are not a promise of similar results for you.
7. Payments and refunds
Initial consultations and certain features of the Service are free. Tutoring packages, subscriptions, and other paid services may be offered through the Service. When you purchase a paid service, the price, billing cycle, and any specific terms are presented at checkout and form part of these Terms.
Payments are processed by a third-party payment processor (such as Stripe). We do not collect or store your full payment card details. You authorize us and our processor to charge the payment method you provide for the amounts you agree to at checkout, including applicable taxes.
All fees are non-refundable except where required by law or where we agree in writing to issue a refund or credit. Refunds and credits are granted at our sole discretion. Unused sessions purchased as part of a package may, at our discretion, be credited toward future sessions; they do not entitle you to a cash refund.
Until on-platform payments are launched, fees and any refund or credit terms for tutoring are agreed separately in writing with your tutor and govern in case of conflict with this section.
8. Your content
The Service lets you submit content, including chat messages to the AI tutor, voice recordings, and answers to practice questions (“User Content”). You retain ownership of your User Content. You grant NextEdge a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and otherwise use User Content for the purpose of providing and improving the Service and as described in our Privacy Policy. This license ends when you delete the User Content or close your account, except for backups and aggregated, de-identified data.
You represent that you have all rights necessary to grant this license and that your User Content does not violate the rights of any third party or any law.
We do not actively pre-screen User Content, but we may remove or refuse User Content that we believe violates these Terms.
9. Our content and intellectual property
The Service and all materials we provide — including text, software, designs, logos, graphics, audio, and curated practice questions and explanations (“NextEdge Content”) — are owned by NextEdge or our licensors and are protected by copyright, trademark, and other laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the NextEdge Content for your personal SAT preparation. All other rights are reserved.
“NextEdge”, the NextEdge logo, and related marks are our trademarks. You may not use them without our prior written consent.
10. Third-party services and trademarks
The Service uses third-party providers listed in our Privacy Policy. Your use of those providers may be subject to their own terms.
SAT® is a registered trademark of the College Board. The College Board is not affiliated with, does not sponsor, and does not endorse the Service. Other trademarks referenced on the Service are the property of their respective owners and are used for identification only.
11. Termination
You may close your account at any time by emailing nextedge.prep@gmail.com. We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, if we are required to do so by law, or if we discontinue the Service.
Sections that by their nature should survive termination (including Sections 6, 8, 9, 12, 13, 14, 15, and 17) will survive.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, that any content (including AI-generated content) is accurate, or that the Service will meet your requirements.
Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, the exclusions in this Section apply to the maximum extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, in no event will NextEdge or its officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.
Our total cumulative liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the total amount you paid us in the twelve months immediately preceding the event giving rise to the claim, or (b) $500 USD.
Some jurisdictions do not allow limitation of liability for certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless NextEdge and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service in violation of these Terms, (b) your User Content, or (c) your violation of any law or the rights of any third party.
We may, at our discretion, assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you will cooperate with our defense of the claim.
15. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You and NextEdge agree that any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Orange County, Florida, and you and NextEdge each consent to personal jurisdiction and venue in those courts. Notwithstanding the foregoing, either party may bring a qualifying claim in small claims court in the county of the defendant’s residence.
Before filing a claim, you agree to try to resolve the dispute informally by emailing nextedge.prep@gmail.com with a description of your claim and proposed resolution. We will try to respond within 30 days.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top and, where appropriate, notify you by email or through the Service before the changes take effect. Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Service.
17. Miscellaneous
These Terms, together with the Privacy Policy and any terms presented at checkout, are the entire agreement between you and NextEdge regarding the Service and supersede any prior agreements on that subject.
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms freely. There are no third-party beneficiaries to these Terms.
Headings are for convenience only. The words “including” and “include” mean “including without limitation”.
